Companies House Company Formation

Companies House Company Formation

Your limited company registered, done properly.

Most people forming a company for the first time are not sure what share structure to use, which SIC code applies, or what needs to happen the week after registration. Daniel handles the formation and talks you through what comes next. Fixed fee, ACCA-qualified, and questions answered the day you ask them.

  • Your company registered at Companies House, correctly first time
  • Share structure, SIC codes and director details set up sensibly
  • Registered office and confirmation statement service available
  • Ongoing accounting support ready from the moment you incorporate

No long-term contract. If the ongoing service is not the right fit after three months, you leave with a properly formed company and nothing further owed.

Sound familiar?

Not sure you are setting up correctly?

Forming a company through Companies House takes about ten minutes online. Forming it correctly — right share structure, right SIC code, right director and shareholder details, sensible articles of association — takes a little more thought. Getting it wrong is not catastrophic, but unpicking it later costs time and sometimes money. Most people only realise the gaps after they have already clicked submit.

  • Unsure whether to issue one share or a hundred, and to whom
  • Not certain which SIC code accurately describes your business activity
  • No idea what needs to happen with HMRC and PAYE immediately after formation

What a properly formed company looks like

The formation itself is straightforward when someone who does this regularly handles it. The bigger value is knowing the structure is right before you start trading, and having an accountant already in place for everything that follows.

  • Share structure agreed upfront, allocated correctly from the start
  • Correct SIC code selected, articles of association in order
  • HMRC registrations, PAYE setup and Xero onboarding handled from day one
  • Fixed fee agreed upfront — no surprises after the company is live

What you get

Everything the formation service covers

The fixed fee covers the registration itself. There is also the option to add ongoing accounting support, registered office service and company secretarial — all from the same accountant.

01

Companies House Registration

Your limited company registered with Companies House, with the correct share structure, SIC code, director and shareholder details, and a memorandum and articles of association that actually fit your business. Most formations are completed within 24 working hours of receiving your information. You will receive your certificate of incorporation as soon as Companies House issues it.

Included as standard
02

Registered Office and Secretarial

Use DG Accountancy’s address as your registered office so your home address stays off the public register. Confirmation statements are filed on time each year, and any Companies House correspondence is handled without it landing on your doorstep. This keeps the administrative side of running a limited company ticking over without requiring your attention.

Available as an add-on
03

Ongoing Accounting from Day One

Formation is the start, not the finish. Once your company is live, you will need bookkeeping, VAT registration if your turnover warrants it, payroll if you are taking a salary, and a year-end accounts and Corporation Tax return within nine months of your accounting year end. All of this can be picked up immediately under one of the fixed monthly packages, so nothing falls through the gap between incorporation and your first filing deadline.

Consistent feedback across different situations

Clients arrive with different starting points — sole traders converting, contractors going limited, first-time business owners. The experience tends to be similar regardless.

Turned Everything Around Without Cutting Corners

“I worked with Daniel at DG Accountancy to review and sign off my sole trader accounts for a time-sensitive mortgage application, and the service was excellent. Daniel was extremely responsive, clear, and professional throughout. He understood exactly what the lender required, turned everything around very quickly without cutting corners. Communication was straightforward and reassuring, which made a potentially stressful part of the mortgage process much easier. Fees were transparent, turnaround was fast, and the work was done thoroughly and accurately. I wouldn’t hesitate to recommend Daniel to anyone needing reliable accountancy support, particularly where deadlines really matter.”

Rates Extremely Good, More for Your Money

“Daniel was very helpful with my books and tax return. He offered great advise and insight in how to manage my books better and more efficiently. His knowledge in tax law and what can be used for expenses really helped with saving money where I could. As a sole trader it’s really hard to keep on top of things and have now asked Dan to do monthly books for me. His rates are extremely good compared to some other accountants out there and I get more for my money.”

Why DG Accountancy

Why clients choose Daniel over formation-only services

Online formation tools cost almost nothing. What they do not provide is someone who knows what the company needs to look like before you start trading.

🏗️

Formation with the structure right

An online formation service will register whatever you put in. Daniel will ask about your plans — number of shareholders, profit extraction preferences, future investment — before anything is submitted. A company formed with the right share structure from the outset avoids reorganisation costs later.

📋

You do not disappear after incorporation

Many formation services end at the certificate of incorporation. DG Accountancy continues into bookkeeping, VAT, payroll, year-end accounts and Corporation Tax — so the accountant who formed the company already knows the structure when filing deadlines arrive. There is no handover, no re-explaining.

Questions answered the same day

New company directors tend to have a lot of questions in the first few weeks — what expenses are allowable, when VAT registration kicks in, how to pay themselves sensibly. You will not wait days for a reply. Daniel is known for responding quickly and explaining things in plain English rather than deferring to jargon.

Getting started

Your company registered in four steps

The process is straightforward. Most companies are registered within 24 working hours of the information being confirmed.

1

Book a free discovery call

A short call to understand your business, your plans and who will be involved in the company. This shapes the share structure and director setup before anything is submitted to Companies House. No sales pitch — just the information needed to do it correctly.

2

Receive your fixed-fee quote

You will get a clear written quote for the formation and, if you want it, the ongoing accounting package. Everything is agreed upfront — no surprises once the certificate arrives. If you decide ongoing support is not for you yet, there is no obligation.

3

Confirm details and incorporate

You provide the director details, registered address preference and any shareholder information. Daniel handles the Companies House submission. Most registrations are confirmed within 24 working hours. You receive the certificate of incorporation as soon as it is issued.

4

Trading with everything in place

Your company is live, your Xero account is set up, and your accountant already knows the structure. HMRC registrations are handled, VAT is monitored from day one, and your first year-end deadline is already on the calendar. Which is, frankly, the way it should start.

Questions

Things people ask before forming a company

Does it matter how many shares I issue at formation, and who gets them?+

It matters more than most people expect. The share structure determines how dividends are distributed, who has voting rights, and how straightforward it is to bring in a co-founder or investor later. Issuing one share to one director is the simplest structure but is not always the right one. The call before formation exists specifically to get this right before anything is submitted.

What does the formation service cost, and what is included?+

Company formation is included in all four limited company monthly packages — Start, Operate, Grow and Scale — which begin from £79 per month. The first three months are charged at 50% of the monthly fee. If you want formation only without an ongoing package, a fixed fee is quoted upfront. There are no hidden charges and no hourly rates.

I have already registered my company but the structure might be wrong. Can you help?+

Yes. Share structures can be amended after incorporation, though the process involves additional Companies House filings and potentially a stamp duty return with HMRC. The earlier it is addressed, the simpler it tends to be. A short call is usually enough to assess what needs to change and what it will cost to fix.

Is there a minimum contract term if I take an ongoing accounting package?+

There is no long-term contract. The packages run month to month. If the arrangement is not working after three months, you leave with a properly incorporated company, clean books, and all your Companies House filings up to date. Nothing further is owed.

Do I need to register for VAT immediately when the company is formed?+

Not automatically. VAT registration becomes compulsory when your taxable turnover exceeds the current threshold (£90,000 in a rolling 12-month period). Some businesses register voluntarily before reaching that threshold — particularly if they sell to VAT-registered businesses that can reclaim the VAT. This is worth discussing before you start trading, not after you have crossed the threshold without noticing.

How should I pay myself from my new limited company?+

The most tax-efficient approach for most director-shareholders is a combination of a modest salary (typically set around the National Insurance threshold) and dividends drawn from retained profit. The exact split depends on your other income, the company’s profitability, and whether there are other shareholders. This is covered as part of the onboarding conversation so you are not guessing.
