Sound familiar?

Still not sure what a dormant company actually owes?

Most directors assume a dormant company means no paperwork. It does not. Companies House still expects annual accounts and a confirmation statement. HMRC still expects a CT600 nil return unless you have told them the company is dormant in the right way. Miss those deadlines and the penalties arrive regardless of whether the business was trading. It is one of those things that is easy to overlook and quietly expensive when you do.

  • Unsure whether your company qualifies as dormant under HMRC and Companies House definitions
  • Missed a Companies House filing deadline because you assumed nothing was required
  • No confirmation that HMRC has acknowledged dormant status — leaving a CT600 obligation open

What sorted looks like

The obligations are modest, but they do need to be met correctly and on time. DG Accountancy handles the full filing cycle for your dormant company — so nothing is missed, nothing is late, and you know exactly where you stand.

  • Dormant status confirmed under both HMRC and Companies House definitions — no grey area
  • Companies House annual accounts and confirmation statement filed well ahead of deadlines
  • CT600 nil return submitted or dormancy notification made correctly with HMRC
  • Fixed fee agreed upfront — no surprise charges for a straightforward annual obligation

What you get

Everything your dormant company needs filed

One fixed fee covers the complete annual filing cycle — Companies House accounts, HMRC obligations and confirmation statement included.

01

Dormant Accounts for Companies House

We prepare and file abbreviated dormant accounts with Companies House each year, meeting the filing deadline for your specific accounting period. You receive a clear summary of what has been filed and when — nothing ambiguous, nothing left to chance.

Included as standard
02

CT600 Nil Return and HMRC Dormancy

If HMRC has not been formally notified of dormancy, an outstanding CT600 obligation remains open. We confirm the correct position, make the appropriate notification or file a nil return, and give you written confirmation that HMRC is satisfied. That particular loose end gets closed.

Included as standard
03

Confirmation Statement Filing

The confirmation statement is due every 12 months regardless of trading activity, and missing it is a criminal offence under the Companies Act — which is rather a lot of consequence for a five-minute filing. We handle it as part of your annual dormant company package.

Why DG Accountancy

What makes the difference for dormant companies

Dormant filings are straightforward — but only when they are done correctly and on time. Here is what that looks like in practice.

📋

No Missed Deadlines, No Penalties

Your Companies House filing deadline is tracked and your accounts are prepared in good time before it arrives. CT600 obligations and confirmation statements follow the same process. Penalties from a dormant company are entirely avoidable, and that is the intended outcome.

💬

Plain English on Dormancy Rules

The distinction between dormant status under Companies House and under HMRC is not obvious, and getting it wrong leaves obligations open. Daniel explains the position clearly so you know exactly where your company stands before anything is filed.

Questions Answered the Day You Ask

If a letter arrives from HMRC or Companies House, you will not spend two days waiting to find out what it means. DG Accountancy is known for fast, clear replies — because waiting for a simple answer on a dormant company matter is a frustration you can reasonably avoid.

Getting started

Up and running in four steps

Most clients have their dormant company filings in hand within a week. The process requires very little from you once we have the basic company details.

1

Book a free discovery call

We will talk through your company’s current position — when it went dormant, what has or has not been filed, and what needs to happen next. No sales pitch, just a clear picture of the situation.

2

Get your fixed-fee quote

You will receive a written quote covering exactly what is included — annual accounts, CT600 or dormancy notification, confirmation statement. Everything is agreed upfront with no hidden additions.

3

We handle the filings

Send us the basic company information and we take it from there. Accounts are prepared, HMRC is dealt with, and everything is filed with Companies House. You will receive confirmation once each submission is accepted.

4

Nothing to think about next year

We track the next filing deadline and remind you when it is approaching. Your dormant company stays compliant without you having to keep a separate mental note of when things are due. Which is, frankly, the way it should be.

Questions

Things people usually ask us first

What is the difference between dormant status at Companies House and dormant status at HMRC?+

They use different tests. Companies House considers a company dormant if it has had no significant accounting transactions during the period. HMRC’s definition is broader — a company is dormant for Corporation Tax purposes if it is not active, not liable to pay CT, and has no other tax obligations. You can be dormant for one and not the other, which is why it matters to confirm the correct position before deciding what to file.

How much does dormant company accounting cost?+

DG Accountancy charges a fixed fee agreed upfront before any work begins. The fee covers the annual accounts, CT600 nil return or dormancy notification, and confirmation statement. There are no hourly rates and no additional charges for a standard dormant company filing. The exact figure depends on how many years of filings need to be brought current and whether HMRC needs to be formally notified of dormancy.

My company has been dormant for a couple of years and I have not filed anything — can you sort it?+

Yes, and it is more common than you might expect. We identify which filings are outstanding with both Companies House and HMRC, prepare the accounts for each period, and get everything submitted in the correct order. Companies House late filing penalties may apply for overdue accounts — we will tell you upfront what those are likely to be so there are no surprises.

Is there a long-term contract?+

No. DG Accountancy does not require a long-term commitment. If after working together you decide to move on, your filings will be up to date and all your documents will be returned to you. Most clients stay because the process is straightforward and the work is done well — not because they are locked in.

Can I reactivate my dormant company later if my circumstances change?+

Yes. Keeping a company dormant is often preferable to striking it off if there is any chance of trading in the future — it preserves the company name and structure without the cost of forming a new one. When you decide to start trading again, we can handle the reactivation with HMRC and ensure the correct filings and registrations are in place from the outset.
