Sound familiar?
Not trading, but still filing — and not sure what.
A dormant company is easy to forget about. Nothing is happening, so it feels like nothing needs doing. Then a penalty notice from Companies House arrives, or HMRC sends a Corporation Tax return you assumed was not required. The filing obligations do not disappear because the company is inactive — they just go unnoticed until they become a problem.
- Unsure whether a dormant company still needs accounts filed anywhere
- Missed confirmation statement deadline because the date crept up unnoticed
- Not certain whether HMRC expects a Corporation Tax return or formal dormancy notification
What staying compliant looks like
The obligations for a dormant company are straightforward when someone is on top of them. Accounts prepared, confirmation statement filed, HMRC kept informed — all handled before any deadline appears on your radar.
- Dormant accounts prepared and filed at Companies House accurately and on time
- Confirmation statement tracked and submitted before the annual deadline
- HMRC dormancy status confirmed so no Corporation Tax surprises arrive
- Fixed fee agreed upfront — you know exactly what you are paying, each month

Everything a dormant company actually needs
Dormant company compliance is not complicated — but it does need doing correctly and on time. Here is what the service covers.
Dormant Accounts and Companies House Filing
Statutory dormant accounts are prepared and filed at Companies House before the deadline. The format is simplified for dormant companies, but it still needs to be correct and submitted on time — a late filing attracts an automatic penalty regardless of trading status.
Included as standardHMRC Dormancy Notification and Corporation Tax
If your company has not traded, HMRC needs to be informed formally — either via a Corporation Tax return showing nil liability or a dormancy notification, depending on your circumstances. This is handled correctly so no unexpected demands arrive later.
Included as standardConfirmation Statement
Every limited company must file an annual confirmation statement with Companies House, dormant or not. The deadline is tracked and the filing submitted on time, so you are not left with a Companies House strike-off notice for something entirely avoidable.
Included as standardConsistent feedback across different clients
Clients range from sole traders to limited company directors. The themes that come up repeatedly are speed, clarity and the sense that things are simply handled.
Transparent Fees, Fast and Thorough Work
“Fees were transparent, turnaround was fast, and the work was done thoroughly and accurately. I wouldn’t hesitate to recommend Daniel to anyone needing reliable accountancy support, particularly where deadlines really matter.”
Rates Extremely Good, More For Your Money
“His rates are extremely good compared to some other accountants out there and I get more for my money.”
Huge Thanks, Will Use Again
“Huge thanks to Daniel for helping ourselves with our taxes! Being self employed means we all have to do this ourselves which is just not possible on top of our work load. Thanks again! We will be using you again!”
Why directors in Torquay choose DG Accountancy
There are plenty of accountants who will file your accounts. Fewer who explain what is required, track the deadlines for you, and reply the same day when you have a question.
Deadlines tracked, not chased by you
Companies House and HMRC deadlines are monitored automatically. You will not need to remember when your confirmation statement or dormant accounts are due — that is the point of having an accountant on retainer rather than scrambling when a reminder email arrives.
Plain English on dormancy rules
The distinction between a Companies House filing and an HMRC notification, what triggers a Corporation Tax obligation even for a dormant company, when dormant status is lost — Daniel explains all of it in language that actually makes sense. You will understand your obligations, not just be told they are handled.
20 years across real businesses
Daniel has worked across airlines, construction, manufacturing and entertainment over two decades. Dormant companies appear in a range of contexts — holding structures, companies between contracts, property vehicles — and the right advice depends on understanding why the company exists. That context matters.
Up and running in four steps
Most dormant company clients are fully set up within a week. The process is straightforward and most of the work happens on our side.

We gather what is needed
Companies House and HMRC details are confirmed and any outstanding information requested. For most dormant companies this is minimal. You do not need to prepare anything in advance.
Filings done, compliance current
Your accounts are filed, HMRC is informed of dormancy status, and your confirmation statement is submitted. The company is compliant, the deadlines are tracked going forward, and you have considerably less to think about.
“Absolutely recommend Daniel for all and any accounts related matter. Would use his expertise again. He is the most amazing person, very professional, explaining every detail meticulously in order to finalise our accounts. A huge thank you Daniel.”
Common questions about dormant company accounts
My company has not traded at all — does it really still need to file accounts?
Yes. A dormant company registered at Companies House is still legally required to file annual accounts and a confirmation statement, regardless of whether any trading has taken place. Companies House does not make exceptions for inactivity, and the penalties for late filing are automatic. The accounts themselves are simplified for dormant companies, but they still need to be prepared correctly and submitted on time.
What does dormant company accounting cost on a fixed fee?
The fee depends on what your company needs — accounts only, or accounts plus confirmation statement, HMRC notification and ongoing annual monitoring. Everything is quoted in writing before any work starts, so you know the full cost upfront. There are no hourly rates and no bill at the end that does not match the quote.
My dormant company has missed a filing deadline — is it too late to sort this out?
It is not too late, but the sooner it is addressed the better. Late accounts attract automatic penalties from Companies House, and these increase the longer the filing remains outstanding. In some cases, Companies House may have begun strike-off proceedings. The first step is understanding exactly what is outstanding — that is covered in the discovery call at no charge.
Is there a long-term contract if I sign up for ongoing dormant company compliance?
No long-term contract. If your circumstances change — the company becomes active, you decide to dissolve it, or the arrangement simply is not working — you are free to leave. You will leave with your filings current and nothing outstanding.
Does HMRC need to be told the company is dormant, or does it just know?
HMRC does not automatically know. If your company has never traded, you may need to notify HMRC that the company is dormant and no Corporation Tax return is due. If the company has previously been active and is now dormant, you will need to file a final Corporation Tax return and then formally notify HMRC of the change in status. Getting this wrong can result in HMRC issuing returns and charging penalties for non-submission.
What happens to my dormant company’s tax position if I want to start trading again?
Reactivating a dormant company has tax implications — HMRC needs to be notified within three months of the company beginning to trade, and Corporation Tax obligations resume from that point. It is also worth reviewing the company structure before reactivation to ensure it is still the right vehicle, particularly if circumstances have changed since the company was formed. That conversation is part of the ongoing advisory support.
